Investor information
Risks, structure, fees and documents of the MoroccoEntry Fund: read before investing.
What the fund is
The MoroccoEntry Fund is a private participation vehicle, structured as a Moroccan company and promoted by Dunes Labs SARL (Zagora, Morocco), that acquires land, real estate and stakes in operating businesses in Morocco, develops or operates them, and distributes the net profits of sales and rents to participants once a year, pro rata to their participation.
Key terms
- Minimum participation: €10,000.
- Target net annual return: 8-12 % (target, not a promise).
- Distribution: annual, after the closing of the accounts.
- Recommended horizon: 3 years; exit windows once a year thereafter, subject to liquidity.
- Fees: 2 % annual management fee on capital under management and 20 % of realised profits.
- Currency: euros; assets in Morocco are held in dirhams and declared to the Foreign Exchange Office so that capital and profits are repatriable.
Main risks
- Market and liquidity: land and property can take time to sell; exits may be delayed.
- Currency: the dirham is managed against a euro/dollar basket; movements affect euro returns.
- Regulatory: permits, taxes and exchange-control rules can change.
- Operational: construction delays, tenants, contractors.
- Concentration: the fund invests in one country and a limited number of operations.
Governance and reporting
An investment committee approves each operation. Participants receive a quarterly report (portfolio, valuations, costs, exits) and the annual accounts. Every asset is titled in the fund's name and notarised.
Who can invest
Adults who complete identity and source-of-funds checks (KYC/AML). The fund is not offered to the public in jurisdictions where this would require a licence we do not hold; it is a private placement among a limited number of participants.
Documents
Terms sheet, participation agreement, company statutes and the latest report are available on request at info@moroccoentry.com and in the client area once your file is open.
